Annual Invoice FAQs

When is my invoice due?

Your invoice is due and payable upon receipt. We allow up to 30 days for payment to arrive. Past due accounts are subject to closure and a resignation of registered agent filing with the state(s). In addition, the state(s) may assess additional penalty fees on the entity.

What are you charging me for?
  • Annual Minutes – If you are paying for annual minutes for your entity, please [download and complete the Annual Minutes Checklist] and submit it to minutes@corporatedirect.com. Annual minutes are important for protecting the corporate veil, and we recommend annual minutes be prepared for every entity.
  • Filing Fee – If your invoice has a filing fee on it, this is the state’s fee to file the required report. Please note that Corporate Direct will not file your annual report in advance of receiving payment.
  • Admin Fee - Corporate Direct’s fee to file the required state report for your entity.
  • Address Service – Corporate Direct’s fee to allow you use of our Wyoming or Nevada address for your business correspondences. Address service includes weekly mail forwarding.
  • Registered Agent Service – All states require entities to maintain a registered agent. Corporate Direct provides this service for your entity. The registered agent receives and forwards legal and official documents to you.
Important Filing Information

To calculate the annual license tax, Wyoming entities must submit a balance sheet (Appendix 1 Worksheet) each year to the state.

If your Company holds assets in Wyoming and Corporate Direct files the annual report, please complete the balance sheet and return it to adminsupport@corporatedirect.com.

If your Company DOES NOT hold assets in Wyoming, we still must file an Annual Report showing zero. You can disregard the form, and we will report zero assets in Wyoming for you.

If your invoice includes Corporate Direct’s filing service and payment is not received within 30 days of the invoice date, the state may assess additional late penalty fees on your entity. If Corporate Direct does not file the required state and/or tax reports on your behalf, it is your responsibility to contact the Secretary of State and/or Tax Board to confirm filing deadlines and procedures. Many states consider annual filings the sole responsibility of the entity owner and do not send filing reminders. We strongly recommend reviewing your state’s specific requirements to avoid penalties or loss of good standing.
